The Management Board of Energomontaż-Południe S.A. (the Company, the Issuer) announces that on 3 August 2011 the Supervisory Board of the Issuer appointed Mr Waldemar Barański to the function of Vice-President of the Management Board of the Issuer.
The resolution of the Supervisory Board concerning the appointment of Mr Waldemar Barański comes into effect on the day of registering the amendment of the Statute of the Company made on the basis of Resolution No. 20 of the Ordinary General Meeting of Shareholders of Energomontaż-Południe S.A. of 27 June 2011 on an amendment of the Statute of the Company. Until the day on which the aforementioned amendment of the Statute of the Company is registered, Mr Waldemar Barański will exercise the function of Member of the Management Board of Energomontaż-Południe S.A.

Mr Waldemar Barański has extensive professional experience, including in managing a business cooperating with foreign partners and carrying out tasks related to the oil and gas, petrochemicals, chemicals and energy sectors, as well as environmental protection and infrastructure. He is also experienced in winning contracts in accordance with a company's business profile, particularly outside Poland. He is also skilled in finding foreign partners for cooperation on large-scale turn-key projects (arranged as a consortium, joint venture, nominated subcontractor, etc.) and obtaining financing facilities for contracts which have been concluded - including from foreign institutions. He has supervised the performance of various types of contracts (prefabrication and delivery, assembly, construction), especially abroad and with the participation of foreign partners, and has managed turn-key projects in the refinery and petrochemicals sector.

Mr Waldemar Barański does not conduct any activities other than those stated above, including those which might be considered competitive towards the Issuer, and does not participate in rival companies as a partner of a civil or private partnership or as a member of the governing bodies of an incorporated entity or another competitive legal entity. He is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.
