The Management Board of Energomontaż-Południe S.A. announces that, on 18 January 2010, it received notification from two shareholders in the Company, i.e. PBG S.A. and Mr Andrzej Hołda, in respect of a change the number of votes in the Company to which they are entitled, which took place in connection with an entry on 17 February 2010 to their share accounts of the above mentioned series E shares, taken up through the exercise of rights vested in the aforementioned shareholders stemming from their ownership of series A subscription warrants, issued as part of a conditional share capital increase.

The Management Board of Energomontaż-Południe S.A. (the Issuer) announces that following the completion of talks conducted by Energomontaż-Południe S.A. with the German firm Steinmϋller Instandsetzung Kraftwerke GmbH, on 9 February 2010, the German side conveyed a letter of intent stating that it intends to commission the Issuer with assembly work as part of the modernization of block no. 5 of the coal mine PGE Kopalni Węgla Brunatnego Bełchatów S.A. The value of the task is approximately PLN 19.5 million.

Subscription to shares in the Issuer by a manager
The Management Board of Energomontaż-Południe S.A. (the Company) announces that on 9 February 2010 it received a notification under the procedure of Article 160 par. 1 pt. 1 of the Act on Trading in Financial Instruments in which the President of Energomontaż-Południe S.A., Mr Andrzej Hołda, reported that on 3 and 5 February 2010 he subscribed to a total of 4,838,999 Series E shares in the Company at a unit issue price of PLN 3.45.

Conclusion of a series E share issue conducted as part of implementing an investment
The Management Board of Energomontaż-Południe S.A. (the Issuer, the Company) announces that, on 5 February 2010, with a private subscription for series E shares having been made and paid for, the issue of 22,582,001 series E shares (the Shares) conducted as part of a conditional share capital increase was concluded. All the Shares were duly subscribed and paid for. Within the issue, the company PBG S.A. took up 17,743,002 series E shares in Energomontaż-Południe S.A., and Mr Andrzej Hołda took up 4,838,999 series E shares in Energomontaż-Południe S.A.

In reference to current report no. 66/2009, the Issuer's Management Board hereby announces that on 25th January 2010, as a result of commissioning the Issuer to perform the foregoing tasks, the Company received a commission submitted by Alstom Power Systems GmbH (Employer) comprising execution of the works specified in point 1 in the scope of prefabrication of the flue gas and air ducts under the project of construction of two supercritical power units in Eemshaven, the Netherlands.
