Acquisition of 40% of Amontex shares
Taking up D series for Amontex shares
On 22 August 2008, Energomontaż-Południe SA acquired 40% of the shares of Amontex Przedsiębiorstwo Montażowe Sp. z o.o. The purchase price for 40% of the shares (118 shares with a nominal value of PLN 500 per share) was PLN 13,623,700. As a result, the Company has 100% of the share capital of Amontex. The shares were paid by taking up, by two Amontex shareholders, the total of 4,390,000 of D series shares of Energomontaż-Południe SA issued with the issue price of PLN 2.83 per share. Furthermore, the issuer paid proportionally, to the sellers' accounts (Amontex shareholders: Andrzej Mikucki and Piotr Mikucki), the amount of PLN 1.2 million in cash. Following the private placing, Mr. Andrzej Mikucki took up 2,901,790 of the D series shares and Mr. Piotr Mikucki 1,488,210 of the D series shares of Energomontaż-Południe SA.
