Issue of shares through contribution

On 25 July 2008, the Extraordinary General Meeting of Energomontaż-Południe SA decided to issue 4,390,000 D series shares without the pre-emptive right. The issue price of the D series shares shall be PLN 2.83 for one share. The shares shall be taken by two shareholders of Amontex Przedsiębiorstwo Montażowe Sp. z o.o. in exchange for a contribution in kind of 118 Amontex shares constituting 40% of the entity's share capital. The shares shall be taken in private placing put forward to the Amontex shareholders:
- Mr. Andrzej Mikucki - 2,901,790 of D series shares
- Mr. Piotr Mikucki - 1,488,210 of D series shares.
