Acquisition of AMONTEX
Preliminary agreement on acquisition of 100% stake in PM AMONTEX Sp. z o.o.
On 18 February 2008 Energomontaż-Południe SA signed preliminary agreement on acquisition of 100% stake in Przedsiębiorstwo Montażowe AMONTEX Sp. z o.o. Maximum purchase price of the above mentioned shares amounts to PLN 34.5m whereas the shares will be paid as follows:
- Energomontaż-Południe SA will pay for 60% stake in AMONTEX PLN 19.0m in cash plus PLN 1.7m bonus depending on net profit gained by AMONTEX for 2008.
- for the rest 40% of shares Energomontaż-Południe SA will pay PLN 13.8m with its own shares of D series, which issue price will be average closing quotations for June 2008.
