Acting pursuant to Clause 5 par. 1 pt. 14 of the Regulation of the Minister of Finance on current and periodic information published by issuers of securities of 19 February 2005, the Management Board of Energomontaż-Południe S.A. (the "Issuer" or the "Company") hereby announces that on 19 August 2011, as a result of its receipt of an extract from the Commercial Register of the National Court Register, the Company has been informed that the District Court for Katowice-Wschód in Katowice, Division VIII Commercial of the National Court Register, has entered into the Commercial Register the Issuer's merger with its subsidiary, EP Hotele i Nieruchomości Sp z. o.o. ("EP Hotele i Nieruchomości").

The merger was carried out under the procedure of Article 492 par. 1 pt. 1 of the Commercial Companies Code by transferring all assets of EP Hotele i Nieruchomości, as the target company, to the Issuer, as the acquiring company (merger by takeover). The merger was carried out without raising the Issuer's share capital, pursuant to Article 515 par. 1 of the Commercial Companies Code.

The target company - EP Hotele i Nieruchomości - was engaged in tourist, hotel, recreation and food service operations, based in its recreation centre in Mrzeżyno (until April 2011) and hotel in Będzin Łagisza.

The entity was established by a notarial deed of 21 June 2002 and operated as EP Centrum Rekreacji Sp z. o.o. In February 2009 the company's business name was changed and became EP Hotele i Nieruchomości Sp. z o.o. The entity was entered into the Commercial Register of the National Court Register maintained by the District Court for Katowice-Wschód in Katowice, Division VIII Commercial of the National Court Register, under KRS 0000134975. EP Hotele i Nieruchomości held the REGON statistical identification number 277846660 and operated under the NIP tax identification number 857-179-36-53. The entity's registered office was located in Katowice at ul. Mickiewicza 15. Its share capital amounted to PLN 70,500 and was divided into 141 shares with a nominal value of PLN 500 each. Energomontaż-Południe S.A. held 100 per cent of the shares in EP Hotele i Nieruchomości.

The acquiring company - the Issuer - has been operating on the Polish and international power industry-related and industrial construction markets for 59 years. Its core business is providing services involving construction and assembly production, general contracting for investments, and assembling, upgrading and refurbishing power production and industrial equipment and installations. Energomontaż-Południe S.A. in Katowice was established by a notarial deed of 7 March 1992. The Company's registered office is located at ul. Mickiewicza 15. The Company has been entered into the Commercial Register of the National Court Register maintained by the District Court for Katowice-Wschód in Katowice, Division VIII Commercial of the National Court Register, under KRS 0000080906. The Company holds the REGON statistical identification number 270649263 and operates under the NIP tax identification number 634-013-54-81. Its share capital amounts to PLN 70,972,001, divided into 70,972,001 ordinary bearer shares with a par value of PLN 1 per share.

The Issuer has reported its intention to merge with EP Hotele i Nieruchomości, and the successive stages of the merger process, in the current report No. 33/2011 of 29 April 2011 and subsequent ones.
