Changes to the composition of the Company’s Management Board

The Management Board of Energomontaż Południe S.A. (the "Company", the "Issuer") announces that, on 28 June 2011, the Supervisory Board of the Issuer accepted the resignation of Mr Radosław Kamiński from the function of President of the Management Board of the Company. The resignation was tendered on 28 June 2011 and exclusively concerned exercising the function of President of the Management Board, but did not concern resigning from membership of the Management Board of the Issuer. On 28 June 2011, the Supervisory Board of the Company appointed Mr Krzysztof Jan Diduch as President of the Management Board of the Issuer.

At the same time, on 28 June 2011, the Supervisory Board of the Company appointed Mr Radosław Kamiński and Mr Ryszard Radomski as Vice-presidents of the Management Board of Energomontaż-Południe S.A. The resolutions of the Supervisory Board concerning the appointment of Mr Radosław Kamiński and Mr Ryszard Radomski to the Management Board come into effect from the day the change is registered in the Statute of the Company on the basis of Resolution No. 20 of the Ordinary General Meeting of Shareholders of Energomontaż-Południe S.A. of 27 June 2011 on amending the Statute of the Company. Until the day on which the aforementioned changes are registered in the Statute of the Company, those persons will exercise the functions of Members of the Management Board of Energomontaż-Południe S.A.

Mr Radosław Kamiński's c.v. and appropriate representations were published by the Company in Current Report No. 33/2010 of 15 June 2010 and No. 29/2011 of 23 March 2011, and still apply. Mr Ryszard Radomski's c.v. and appropriate representations were published by the Company in Current Report No. 29/2011 on 23 March 2011, and also still apply.

1994-2001 Receiver of the bankruptcy estate of the state enterprise Zakłady Urządzeń Chemicznych in Kępno; after the court discontinued bankruptcy proceedings for the purpose of commercialisation, temporary director of that enterprise, and, after changing the company's legal form to CHEMOMET Sp. z o.o., President of the Management Board of the company.
1990-1996 private consulting activity with regard to commercialisation and privatisation of municipal and state enterprises. In that same period he carried out private business activity in executing electrical installations and property protection installations.
1988-1990 Vice-president for Technological Matters at Spółdzielnia Kółek Rolniczych in Wieruszów, responsible for producing spare parts for aircraft engines.
1984-1987 Technologist, and subsequently section head of technological preparation of production at Zakład Produkcyjny ZUGiL.
1992-2011 held functions of member and chairman of supervisory boards in commercial law companies.
In 1996, passed an examination before a commission of the Minister of the State Treasury, entitling him to exercise the function of supervisory board member of State Treasury companies.

Mr Krzysztof Jan Diduch does not conduct any activities other than those stated above, including those which might be considered competitive towards the Issuer, and does not participate in rival companies as a partner of a civil or private partnership or as a member of the corporate bodies of an incorporated entity or another competitive legal entity. He is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.
