Changes to the composition of the Supervisory Board of Energomontaz-Południe S.A.
The Management Board of Energomontaż-Południe S.A. (the Issuer, the Company) announces that changes to the composition of the Issuer's Supervisory Board occurred on 14 June 2010. During an Ordinary General Meeting of Shareholders of the Company, Mr Stanisław Masiuk tendered his resignation from the post of Chairman of the Supervisory Board of Energomontaż-Południe S.A. as of 14 June 2010, explaining that he wished to engage in his own business operations.
Furthermore, by Resolution No. 23, the Company's General Meeting of Shareholders resolved to dismiss Mr Marek Wesołowski from the post of member of the Company's Supervisory Board. The reasons for the dismissal were not given.
In place of the above supervisory persons, by Resolutions No. 24 and 25, the Issuer's Ordinary General Meeting of Shareholders appointed Messrs Radosław Kamiński and Grzegorz Wojtkowiak to the Supervisory Board on 14 June 2010. Below are the biographies of the above persons.
Radosław Kamiński (born 1975)
Master's degree in management and marketing from the Warsaw School of Economics.
Professional career:
1998-2006: Stockbroker in the corporate customer service teams of brokerage houses.
1998-2000 Fortis Securities Polska SA
2000 CA IB Securities SA
2000-2003 ABN AMRO Securities (Polska) SA
2003-2006 Dom Maklerski Banku Handlowego SA
Since 2006 he has been engaged in private investments. He also runs his own business which is not competitive in relation to the business of Energomontaż-Południe SA.
From January 2010 he was a member of, and as of April 2010, he is vice chairman of the Supervisory Board of Amontex Przedsiębiorstwo Montażowe Sp. z o.o.
Grzegorz Wojtkowiak (born 1979)
Grzegorz Wojtkowiak is a graduate of the Academy of Economics in Poznań (now the Poznań University of Economics). In 1997 this university conferred upon him a doctoral degree in economic sciences. He is currently a lecturer in the Department of Management Systems and Techniques. He has written numerous articles on practical management of enterprises.
Since 2007, Grzegorz Wojtkowiak has run his own commercial consultancy business, specialising in company management and finance. He cooperates with law firms, banks, enterprises in various sectors and scientific institutions.
Earlier he was employed as consultant by a law firm, a business providing commercial consultancy, and a commercial company. He also has experience gained from employment with an auditing firm and a firm of accountants.
Grzegorz Wojtkowiak is currently member of the Supervisory Board of Hydrobudowa Polska S.A. in Wysogotowo. Previosuly he served on the Supervisory Boards of Przedsiębiorstwo Drogowo-Mostowego Dromost Sp. z o.o. and Hydrobudowa Śląsk S.A.
The above persons appointed to the Supervisory Board of Energomontaż-Południe S.A. are not listed in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register and do not carry on business other than indicated, including any that could be deemed to be competitive against the Issuer's.
