On 5th February 2010, the issue of 22,582,001 series E shares conducted under the operation of conditional increase of the initial capital was closed. Under the issuance, PBG S.A. took over 17,743,002 pieces of series E shares and Mr. Andrzej Hołda took over further 4,838,999 pieces of series E shares.

By that means, the investment agreement concluded with PBG S.A. was executed in the scope of increasing the initial capital of Energomontaż-Południe S.A.

Pursuant to the said investment agreement, PBG has undertaken to ensure, upon market and competitive conditions, participation of Energomontaż-Południe in the business ventures (contracts) performed by the PBG Capital Group in which the overall value of the works commissioned to Energomontaż-Południe within the period from 2009 to 2011 will come to PLN 250 million at minimum.

Furthermore, PBG S.A. has declared that it will consolidate the performance potential in the scope of assembly and installation services for the power engineering segment around Energomontaż-Południe S.A.. Any investments in fixed or other assets, especially purchasing or taking over shares or stocks of companies conducting their activity in the field of power engineering, are to be performed by PBG S.A. on participation of Energomontaż-Południe as the leading company.

As an expression of the investment agreement execution, in order to tighten the collaboration between Energomontażu-Południe S.A. and PBG S.A., a consortium has been established with the participation of PBG Technologia Sp. z o.o. for the sake of prefabrication and assembly of a steel structure of the football stadium roof in Gdańsk Letnica, the value of which is ca. PLN 93 million.
In the opinion of the Management Board of Energomontaż-Południe S.A., the transaction in question is to reinforce the Company's capital as well as improve the Company's competitive edge and its capability to win new contracts.
