Changes in the composition of the Supervisory Board of Energomontaż-Południe S.A.

Acting pursuant to § 5, section 1, points 21 and 22 of the Decree of the Minister of Finance of 19th February 2009 concerning current and period information [...], the Management Board of Energomontaż-Południe S.A. (Issuer, Company) announces that the Extraordinary General Meeting of the Issuer's Shareholders resumed on 22nd September 2009, by adopting resolutions no. 4 and 5, decided upon recalling Mr. Maciej Mikucki and Mr. Waldemar Tevnell from the Company Supervisory Board. The resolutions adopted by the Extraordinary General Meeting of the Issuer's Shareholders do not specify the reasons for recalling the said persons. In place of the recalled Supervisory Board members, the Extraordinary General Meeting of the Issuer's Shareholders, pursuant to resolutions no. 6 and 7, appointed Mr. Andrzej Wilczyński and Mr. Tomasz Woroch. Please find below the résumés of the said Supervisory Board members.

Andrzej Wilczyński
Member of the Supervisory Board of Energomontaż-Południe S.A.

Mr. Andrzej Wilczyński was born in 1965. He has graduated from the Faculty of Law and Administration at Adam Mickiewicz's University in Poznań. Within the years 1991 - 1994, he was trained as a barrister at the District Chamber of Legal Counsellors in Poznań.

In 1994, Mr. Andrzej Wilczyński established the Lexus Sp. z o.o. legal and economic counselling office where he assumed the position of a Legal Counsellor and the President. Since 1998, he has been a general partner at the Maciej Bednarkiewicz, Andrzej Wilczyński and Associates Legal Counselling Office. Within the years 1999 - 2003, he was a member of the District Chamber of Legal Counsellors in Poznań.

Mr. Andrzej Wilczyński is a founder of numerous companies in which he assumed the position of the President or the Supervisory Board member.
He is currently also a member of Supervisory Boards of the companies incorporated under the PBG capital group, i.e. Hydrobudowa Polska S.A., Hydrobudowa 9 S.A. and Infra S.A.
Mr. Andrzej Wilczyński is also professionally associated with the Poznań Educational Society where he currently acts as the Chairman of the Revision Committee.

Tomasz Woroch
Member of the Supervisory Board of Energomontaż-Południe S.A.

Mr. Tomasz Woroch was born in 1960. He has graduated from the Faculty of Philosophy at Adam Mickiewicz's University in Poznań. Mr. Tomasz Woroch has also completed post-graduate MBA studies as well as post-graduate studies in the field of borehole mining of hydrocarbon deposits at the AGH University of Science and Technology in Krakow.

He has also completed numerous technical training courses. Among the various competences obtained, he has managed to acquire the BVQ internal auditor and BVQI auditor certificates.

Mr. Woroch started his professional career in 1984 at the INSTAL industrial installation company based in Poznań as a Labour Standardisation Inspector. Within the years 1985 - 1986, we worked at the headquarters of the Voluntary Labour Corps as a Platoon Commander. From 1986 to 1990, he performed the function of the Administration Department Manager at the Mostostal Poznań steel structures and industrial machinery company. In 1990, Mr. Tomasz Woroch was an independent technical assistant in Koral Sp. z o.o. Within the years 1990 - 1992, he performed the function of a Commercial Vice Director of the Stalmost company. In 1998, he assumed the position of a Deputy Director at Piecobiogaz s.c. where he worked until 1998. Since 1998, Mr. Tomasz Woroch has been professionally involved in PBG S.A. assuming the positions of the Technical Director, Production Vice President and currently the Vice President. Within the years 2007 - 2008, he was also the President of Hydrobudowa Polska S.A.

The said persons appointed as members of the Supervisory Board of Energomontaż- Południe S.A. are neither listed in the Register of Insolvent Debtors kept under the applicable law on the National Court Register nor do they manage economic activities other than the aforementioned ones including the activities which may be concerned competitive towards the Issuer.
